These Terms & Conditions (“Terms”) govern your access to and use of Medform’s clinic software platform (the “Service”) and our websites, including www.medform.us and www.medform-us.com (the “Sites”). “Medform,” “we,” “us,” and “our” mean Medform Software, Inc. By creating an account, clicking accept, or using the Service, you agree to these Terms. If you accept on behalf of a clinic or organization, you have authority to bind that entity.
The Service may be provided (a) via our cloud-hosted platform accessible through the Sites, and/or (b) as a locally installed application in your clinic environment. For local installations, Medform does not access your local data unless you grant temporary access for support or maintenance. We may update or modify features from time to time; beta/preview features are provided “as is.”
You must be at least 18 and provide accurate information. Keep credentials confidential and restrict access to authorized users only. You are responsible for activity under your accounts and will promptly notify us of any unauthorized use or security incident.
Subject to these Terms and payment of fees, Medform grants you a non-exclusive, non-transferable license to use the Service during your subscription for your internal clinic operations. You will not (and will not permit others to): (i) copy, modify, or create derivative works; (ii) reverse engineer or attempt to extract source code (except as permitted by law); (iii) interfere with the Service; (iv) use it to violate law, infringe rights, or transmit malware; or (v) resell, lease, or provide it to third parties except as we allow in writing.
Online access requires valid credentials; local installations are provided in object code (not source code). You must maintain reasonable security for systems you control (e.g., workstations, networks, credentials) and follow our implementation and user guides. You are responsible for role-based access within your clinic.
You retain ownership of records, messages, documents, images, and other data you submit (“Clinic Content”). To the extent Clinic Content includes Protected Health Information (“PHI”) and you are a HIPAA Covered Entity or Business Associate, Medform acts as your Business Associate and will sign a Business Associate Agreement (“BAA”). We use/disclose PHI only to provide and support the Service and as permitted by HIPAA and the BAA. You remain responsible for accuracy of data and compliance with your legal and regulatory obligations.
Features may include email, SMS, WhatsApp, automated reminders, and e-prescriptions. You must obtain required consents and provide legally required notices/opt-outs (e.g., reply “STOP” for SMS) and comply with applicable laws and carrier rules (e.g., HIPAA, TCPA, CAN-SPAM). You are responsible for the content of your communications and clinical decisions made using the Service. Messaging depends on third-party networks and carriers; delivery/performance is not guaranteed.
As part of the Service, you may generate a lightweight clinic profile page (“Mini-Site”) hosted by Medform, typically on a Medform subdomain (e.g., yourclinic.medform.us). The Mini-Site is a promotional/informational page, not a full standalone website with its own infrastructure. You control the details you publish (e.g., name, address, hours, services, images, team bios) and must ensure they are accurate, lawful, and up to date.
We may optionally enable call-tracking for performance measurement (a forwarding number that routes to your clinic); you consent to the use of such tracking numbers on the Mini-Site. We do not guarantee traffic, SEO ranking, or revenue outcomes. Access to the Mini-Site continues during your active subscription; after it ends, we may remove or disable the page.
You are solely responsible for content you upload or display via the Service or Mini-Site (text, images, videos, articles, reviews, etc.). You must have all necessary rights and permissions (including consents from individuals depicted, and, for minors, from parents/guardians). Medform may provide technical assistance for uploads, but you remain responsible for legality and rights.
Prohibited content includes (examples): illegal or misleading claims; infringing content (copyright/trademark/trade secret); obscene or explicit sexual content; content identifying minors without lawful consent; malware or code meant to harm systems; login credentials or access keys; defamation, harassment, threats, hate or discrimination; incitement to unlawful activity; content that could mislead patients/consumers.
By submitting content for publication, you grant Medform a worldwide, royalty-free license to host, reproduce, display, and adapt the content as reasonably necessary to operate, promote, and improve the Service and the Mini-Site. We may refuse, remove, or edit content that violates these Terms or applicable law.
Your account area may let you manage preferences, tasks, saved items, and clinic details. Do not share access to your personal area. Notify us immediately if you suspect credential compromise. You are responsible for actions taken through your account, including by your authorized users.
Fees are set out in your order or online plan. Unless stated otherwise, fees are billed in advance, are non-cancelable and non-refundable, and exclude applicable taxes (you are responsible for those, except for our income taxes). We may suspend or limit the Service for past-due invoices.
We use commercially reasonable efforts to provide reliable service and support. The Service may be unavailable at times due to maintenance, updates, provider outages, or events beyond our reasonable control. Support is provided during posted support hours and channels. For issues originating in your local environment, additional fees may apply.
We may suspend or terminate access immediately for security risks, suspected fraud, illegal activity, or non-payment; or upon material breach not cured within 30 days of notice. Upon termination, your right to use the Service ends. Sections that by nature survive (payments due, confidentiality, IP, disclaimers, limits of liability, governing law) will survive.
During your subscription, you can export Clinic Content via available tools or by request. You are responsible for maintaining your own backups. After termination, we will retain and delete account data per our retention schedules and applicable law and, if applicable, as provided in the BAA.
Integrations and third-party services (e.g., messaging providers, analytics, payment processors) are provided by others under their own terms and privacy policies. Medform is not responsible for third-party services you choose to enable or for external websites linked from the Service.
Medform and its licensors own the Service and all related intellectual property. No rights are granted except as expressly stated. If you provide feedback or suggestions, we may use them without restriction or compensation.
Each party may receive non-public information from the other (“Confidential Information”). The receiving party will use reasonable care to protect it and will use it only to perform under these Terms. Clinic Content and PHI are your Confidential Information; Medform system architecture, pricing, and non-public documentation are Medform’s Confidential Information. Exceptions apply for information that is public, independently developed, or lawfully obtained from another source.
EXCEPT AS EXPRESSLY STATED, THE SERVICE AND SITES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MEDFORM DOES NOT PROVIDE MEDICAL OR LEGAL ADVICE AND DOES NOT PRACTICE MEDICINE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE, EVEN IF ADVISED OF THE POSSIBILITY. EXCEPT FOR PAYMENT OBLIGATIONS, DATA/SECURITY BREACH CAUSED BY A PARTY’S RECKLESSNESS OR WILLFUL MISCONDUCT, OR INDEMNIFICATION OBLIGATIONS, EACH PARTY’S TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO MEDFORM FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
You will defend and indemnify Medform against third-party claims arising from: (i) your Clinic Content; (ii) your use of the Service in violation of law or these Terms; or (iii) communications you send through the Service. Medform will defend and indemnify you from claims alleging that the unmodified Service, when used as permitted, infringes a U.S. copyright, trademark, or patent; we may modify the Service or procure a license if needed. This section states the parties’ entire obligations for such claims.
You will use the Service in compliance with U.S. export control and sanctions laws and will not permit access or use from embargoed countries or by prohibited parties.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware.
We may update these Terms from time to time. We will post the updated Terms with a new “Last updated” date. Material changes will take effect prospectively and, where required, we will provide additional notice.
You may not assign these Terms without Medform’s prior written consent; Medform may assign to an affiliate or in connection with a merger, acquisition, or sale of assets. These Terms (together with any order, the Privacy Policy, and the BAA if applicable) constitute the entire agreement and supersede prior agreements about the Service. If any provision is unenforceable, it will be modified to the minimum extent necessary or severed; the remainder will stay in effect. Our failure to enforce any provision is not a waiver.

Welcome to “MEDFORM” – a software system for managing clinics and practices, designed for dentists, orthodontists, and other healthcare providers (the “System”).
Access to the System is available in two ways: (1) local installation of the System on the customer clinic’s computers; and/or (2) online access to the System via our websites, including www.medform.us and www.medform-us.com (the “Login Site”). The System and the Login Site, including the services and information provided through them, are referred to together as the “Service.”
The Service is operated by Medform Software, Inc. (“Medform,” “we,” “us,” or “our”). Contact details appear below.
Your use of the Service indicates your agreement to these Terms & Conditions, to our Privacy Policy, and to any additional notices we may present to you (the “Binding Documents”). The Binding Documents apply both to a local installation and to online access to the System, with modifications as appropriate.
The full details of the customer and the customer’s primary contact are as completed in the Order Form (price quote) or as you update them in the System interface or by written notice to Medform.
References to “you” or the “Customer” also include your Authorized Users—your employees or representatives whom you permit to use the System for your internal organizational purposes (e.g., clinic operations).
The Binding Documents form an integral part of the Order Form you signed before joining the Service. Please read them carefully; together with the Order Form they constitute a binding agreement between you and Medform and set out your rights and obligations when you or anyone on your behalf uses the Service and the System.
If you do not agree to the Binding Documents and do not wish to enter into a binding agreement with Medform, you may not use or install the System or receive the Service.
“Content” means any textual, visual, or audio content (or any combination or part of the foregoing), including the way it is designed, processed, edited, and presented.
If we provide translations of these Terms into other languages, the English version governs unless we state otherwise in writing.
The System. MEDFORM is a software system for clinics and practices—serving dentists, orthodontists, and other healthcare providers—used as a management and control tool with advanced features.
The System includes, among others: a dashboard; clinic calendar; patient records; messaging system; lead management (CRM); billing/accounting module (PMS); task management; lab results viewing; time reports; and more. The specific modules and services you may use are those agreed in your Order Form, including any additional services offered by Medform and their prices.
You can find more information about using the System within the System itself. Medform may add or remove features at its discretion.
Login Site. The Login Site serves as an online gateway for customers who choose this option. We may also present informational or marketing materials about Medform, our activities, services, customers, founders, etc.
Medform has discretion to decide which services, content, and information will be displayed in the Service (excluding content you, as Customer, upload), their duration, location, design, and any related matter.
Please note:
The Service is a support tool for managing clinics. Information and content in the Service are not medical, legal, or professional advice, do not replace individualized judgment, and are not a substitute for professional guidance tailored to each patient. Your reliance on content or information presented in the Service is at your sole professional responsibility and discretion.
The Service may include professional or medical content intended to provide general guidance and to assist clinical staff. It does not replace your professional and medical judgment when treating patients.
Whenever there is doubt about the need for professional advice, you must seek guidance from the appropriate professionals.
Although Medform takes steps to ensure information displayed in the Service is accurate, current, and reliable, we do not guarantee its accuracy, completeness, timeliness, or suitability for any purpose.
While Medform will use reasonable efforts to help you import information from other services you use, we do not guarantee we can transfer all information you require or any particular quantity. You must keep your own backups and copies of needed information from other services, and you will have no claim against Medform regarding this.
Wherever the System enables editing, completing, and signing various forms—including medical documents—you (the Customer) must ensure that signature and execution comply with your applicable legal and regulatory obligations (e.g., HIPAA documentation standards, state informed-consent rules, e-signature standards, and where applicable DEA/EPCS identity proofing and multi-factor requirements for controlled substance e-prescribing, and PDMP query obligations).
Subject to full and accurate compliance with the Binding Documents, including payment of all fees in the Order Form, Medform grants you a non-exclusive, time-limited, revocable, non-transferable, non-sublicensable license to allow your Authorized Users to use the System for your internal clinic purposes. For local installations, this right is limited to installation on the number of computers/endpoints specified in the Order Form. You will not use the System for any other purpose. You acquire license rights only, not ownership.
You must allow access to Authorized Users only and maintain tight control over user identity and permissions. Do not allow anyone who is not an Authorized User to use the System with credentials issued under the Binding Documents.
This license does not permit any commercial exploitation beyond internal organizational use. You may not publicly display or make available content from the System or sell or grant access rights to any third party.
Upon expiration of the license term, you must stop using the System and your access will be disabled (for online access) or you must uninstall it (for local installation).
Access is limited to registered Customers who accepted Medform’s Order Form and to their Authorized Users, via credentials provided by Medform (and, for online access, entered on the Login Site).
For local installation, Medform supplies object code (not source code). Installation is limited to the scope specified in the Order Form. You are responsible for reasonable information-security measures for systems you control (e.g., secure networks, devices, credential hygiene).
Source code access is strictly prohibited. Any misuse or unauthorized access to source or build artifacts is your responsibility.
Customer registration is permitted for legally formed entities (e.g., corporation, partnership, non-profit) or for individuals acting as sole proprietors—who are 18 years or older. By registering, you confirm you are properly formed/authorized or 18+.
When completing Customer details in the Order Form or any online form, you must provide true, accurate, and complete information. Inaccurate details may prevent full use of the Service or disrupt our relationship and communications.
Medform may introduce additional identity verification methods from time to time. Keep your credentials confidential.
Medform will use personal information according to our Privacy Policy, which forms part of these Terms.
The System includes tools that allow you to send text messages (SMS), emails, WhatsApp messages, and other communications on your behalf to patients and other recipients, at your discretion.
The System is a technology platform only for delivering your messages. You are solely responsible for: the content, timing, frequency, recipient lists, and for obtaining all required consents and providing legally required disclosures/opt-outs. Your use must comply with applicable laws and rules, including HIPAA, the Telephone Consumer Protection Act (TCPA) (e.g., prior express consent; reply “STOP” to opt out), CAN-SPAM for email, and any state analogs and carrier guidelines.
Messaging depends on third-party networks and carriers (the “Carriers”). If service between Medform and a Carrier is interrupted or terminated for any reason, message delivery to that Carrier’s subscribers may cease. You will not have any claim against Medform in such cases. Carriers are not liable to you or your recipients for delivery issues; their role is transmission only, subject to consumer device limits and network constraints.
You represent that messages you send via the Service comply with all applicable laws (including content restrictions, recipient identity/eligibility, timing and frequency limits, and opt-out management).
Medform may block or suspend your access, uninstall local copies, or cancel your account, at our discretion, including in any of the following cases:
You provided false or misleading information;
You acted or omitted to act in a way that harms or may harm Medform or any third party (including other customers, suppliers, or partners);
You used the Service to attempt or facilitate unlawful activity;
You breached the Binding Documents or the Order Form;
You interfered with others’ ability to use the Service;
We are required to do so by law or court/agency order;
You have an overdue balance;
You disclosed or shared credentials or granted third-party access in violation of these Terms.
Medform may use fraud-monitoring and abuse-prevention measures to detect misuse.
As part of the Service, you may have an Account/Personal Area. It may allow you to view saved information, manage priorities, update Customer details, and perform other actions. In addition to other provisions, the following rules apply:
Do not share Personal Area access or allow third-party access;
If you learn or suspect a security issue (e.g., credential loss or compromise), notify Medform immediately and follow our instructions;
You are responsible for all actions in your Account, whether by you or your Authorized Users;
You must supervise your Account and prevent use by third parties.
As part of the Service, Medform may allow you to create a Clinic Mini-Site (a simple promotional page) for your clinic, hosted under a Medform subdomain (e.g., yourclinic.medform.us). You can generate this page by entering your clinic details in the System. The information you provide will be displayed on the Mini-Site. This is not a full standalone website with independent hosting and domain; it is a concise profile page to help you market your services. Enter only accurate, lawful, and complete details.
The Mini-Site remains available during your active license term. After your subscription ends, we may (at our discretion) allow a short grace period and then may remove the Mini-Site without liability.
Medform may offer optional marketing services for the Mini-Site (e.g., paid ads or SEO) as described in your Order Form. Medform does not guarantee increased traffic, revenue, or any search-engine ranking.
Call tracking (optional). We may display a forwarding phone number on the Mini-Site that routes to your clinic for performance measurement. You give express consent to such call tracking and acknowledge that we may aggregate/de-identify call metrics for analytics. We do not record calls unless expressly agreed and in compliance with applicable call-recording laws.
Subject to your Order Form, Medform may allow you to upload or display content in the System or on the Mini-Site, in designated areas (alone or alongside Medform content). Your content can include educational information, photos, videos, reviews/testimonials, and articles.
If you upload content (including when we help with technical upload), you are solely responsible for all outcomes of publication. You must ensure content is lawful. By way of example, you may not upload or display:
Content that is false, misleading, or deceptive;
Content that infringes others’ IP rights (copyright, trademarks, trade secrets);
Pornographic or explicit sexual content;
Content about minors that identifies them without lawful consent (for minors, parental/guardian consent required);
Malware, viruses, worms, or harmful code;
Passwords, usernames, or credentials enabling unauthorized access to software, paid services, or registered areas;
Defamatory content, invasions of privacy, or content harming reputation;
Personally identifying others without their consent;
Harassing, abusive, hostile, threatening, or coarse content;
Hate speech or unlawful discrimination;
Incitement to criminal activity or content that could give rise to civil liability;
Content likely to mislead consumers or patients.
Medform may refuse to publish or may remove any content you submit, at our sole discretion—e.g., if you violate the Binding Documents or your content harms or risks harm to users, the Service, or Medform. We may also restrict your ability to submit additional content. If we publish content, we may edit it (e.g., shorten/format).
If you ask Medform to help upload your content, such assistance is technical only; you remain responsible for legal review of the content (e.g., whether you hold rights to republish third-party reviews).
By submitting content for publication, you grant Medform a worldwide, royalty-free license to copy, host, reproduce, distribute, display, transmit, process, edit, translate, and otherwise use the content as reasonably necessary to operate, promote, and improve the Service and the Mini-Site, in any media, online or printed. For example, if you submit articles for your Mini-Site, Medform may also display them on other online sources to promote the Service.
If your content includes images or videos of people, you represent you obtained all necessary consents (and for minors, parental/guardian consent), including consent to display their image/identity as used in the Service.
Use of the System is fee-based. Medform may offer trials or demos at its discretion.
As consideration for use of the System and the license granted, you will pay Medform the fees specified in the Order Form for the license term. Typically, use requires a periodic subscription, which may vary based on the number of Authorized Users, number of installed endpoints (for local installs), and other criteria set by Medform.
Medform will send invoices at the amounts and frequency set out in the Order Form. Accepted payment methods will be stated in the invoice. Taxes: amounts are exclusive of applicable taxes; you are responsible for them (other than Medform’s income taxes).
Unless otherwise stated, fees are non-refundable if you choose to cancel during the agreed term.
If payment is late, Medform may assess late fees/interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law, plus reasonable costs of collection. Suspension for non-payment does not waive amounts due.
Agreed pricing in an Order Form applies only for the specified term and is not a precedent for future terms.
By registering as a Customer, using registration-required areas of the System, providing details, and accepting the Binding Documents, you consent (and represent that your Authorized Users consent) to receive marketing communications and direct marketing from Medform subject to applicable law. We may send messages using contact details you provide. You may opt out at any time via the methods described in each message. Medform may also send operational notices and surveys.
Email marketing complies with CAN-SPAM; SMS messaging complies with TCPA and carrier rules. You must also comply when you send messages to your own recipients using the Service.
Medform will provide training to your Authorized Users covering the System and its features. Training may be provided to all Authorized Users together. The scope of training is determined by Medform in its professional discretion unless otherwise agreed in the Order Form.
Medform will keep confidential the data, information, methods, documents, confidential information, and processes that are your property and that we access during delivery of the Service. This obligation does not apply to information that is public, that we learn without breach of this section, that is standard know-how in the field, or that we knew prior to our engagement. We may disclose information if required by law, regulation, or court/agency order.
If you are a HIPAA Covered Entity (or Business Associate), Clinic Content and PHI are your Confidential Information; we process PHI as your Business Associate under a BAA.
All IP rights—including copyrights—in the Login Site, the System (including any development, change, addition, or improvement), the services provided in them, and all content in them (graphics, diagrams, photos, software code, images, texts, multimedia, etc.) are owned by Medform or by third parties who allow Medform to use them (e.g., business partners), except for content you upload (e.g., your patient information).
You may not copy, distribute, publicly perform, transmit, make available to the public, create derivative works, sell, or rent any part of the foregoing by any means without Medform’s prior written consent (or the consent of the relevant rightsholder), and subject to the terms of such consent if given.
Medform’s trademarks (registered or not) are Medform’s property; do not use them without Medform’s prior written consent. Third-party trademarks and ads (if any) are the property of their owners.
Medform does not claim ownership of content you submit. By submitting content, you confirm you hold all rights necessary (or have lawful authorization from the rightsholder) to submit and grant the license described above. You are solely responsible for links, displays, or publications you make and will indemnify Medform for losses arising from your violations.
If you submit images or videos for publication, you confirm you obtained lawful consent from all depicted individuals (and for minors, parental/guardian consent).
You represent that you have the right and authority to use the Service and bind yourself under the Binding Documents. You agree to comply with all laws and with the Binding Documents. In particular:
Do not use the Service in a way that constitutes a criminal offense or civil wrong, or that violates third-party rights (privacy, IP, patient rights);
Do not copy and use content from the Service in other sites, apps, or publications without permission;
Do not attempt to circumvent security mechanisms or interfere with proper operation;
Do not use crawlers/robots or similar tools to scrape, copy, or harvest content from the Service, or to build collections or databases from Service content;
Do not display Service content in any way that alters design or omits elements;
Do not link to the Service from sources that contain unlawful content;
Do not upload illegal, explicit, harassing, hateful, infringing, or otherwise unlawful content;
Do not mislead, defraud, or provide false information; act in good faith.
Regulatory use notes (U.S.). You are responsible for complying with HIPAA and applicable state medical records laws (including record retention periods), E-prescribing laws and DEA EPCS rules (multi-factor authentication and identity proofing for controlled substances), PDMP query obligations where applicable, and 42 CFR Part 2 for substance-use-disorder records if you handle them. The System is not intended to replace clinical judgment or to serve as FDA-regulated medical device software.
The Service and its content are provided AS IS. They cannot be tailored to every clinic’s needs. You will have no claim against Medform for the nature of the Service, the System, the Login Site, their capabilities, limitations, content, or fitness for your needs. Your use is at your sole responsibility.
Although Medform strives for quality, reliability, completeness, accuracy, and timeliness, errors may occur. Medform is not responsible for errors in content or features, and will not be liable for direct or indirect, consequential, incidental, or special damages to you or any third party (including your patients) resulting from access to or use of, or inability to access or use, the Service. Always exercise independent judgment—especially in clinical matters.
Medform does not warrant uninterrupted, error-free, or secure operation, or immunity from unauthorized access, nor immunity from hardware, software, communications, or provider failures. We apply reasonable security measures for confidentiality of personal and commercial information, but risk cannot be eliminated.
Limitation of liability. To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, cover, or punitive damages or lost profits/revenue. Except for payment obligations, data/security breaches caused by a party’s recklessness or willful misconduct, or indemnification obligations, each party’s total liability will not exceed the amounts paid by you to Medform for the Service in the 12 months preceding the event giving rise to liability.
Medform is responsible for fixing errors in the System, including locally installed instances, when caused by the System itself, our installation, or our training. We will correct such issues during the license term (including renewals). This responsibility covers the System only and not your own hardware, networks, infrastructure, or third-party systems.
Notify Medform promptly after an error occurs. Support hours are generally Monday–Friday, 9:00–18:00 (local time, excluding U.S. federal holidays) unless otherwise posted.
Medform’s support obligation does not apply if:
The issue was caused by willful misconduct, accident, negligence, or use contrary to documentation, and not by Medform;
The issue was caused by power/internet problems, or other devices or failures in your environment unrelated to the System;
You made unapproved changes to the System or host computer, or used unsupported maintenance;
In such cases, Medform may still assist if feasible, but additional fees may apply as agreed.
Subject to applicable law, you will indemnify and hold harmless Medform, its employees, officers, and agents from losses arising from your breach of these Terms, the Binding Documents, or the Order Form.
Medform will defend and indemnify you against claims alleging that the unmodified Service, when used as permitted, infringes a U.S. copyright, trademark, or patent. If a claim arises, we may modify the Service or procure a license. This is our entire obligation regarding such claims.
We may place links in the Service to third-party pages, sites, and content not operated or controlled by Medform. We are not responsible for their content, completeness, reliability, timeliness, legality, privacy practices, or for damages that may result from reliance on or use of such content. We do not guarantee links will be active and may remove or add links at our discretion.
Medform may place commercial or promotional content on the Login Site and in the System, including content from business partners and sponsors. We are not responsible for third-party promotional content and do not create, review, verify, or edit such content. Any transaction you enter into based on such content is between you and the advertiser; Medform is not a party and bears no liability unless we explicitly state otherwise.
Medform may remove, correct, update, change, or add any part of the information and content in the Service from time to time and may suspend Service operation for maintenance or other needs. We may also change the Service’s structure, appearance, design, scope, availability, or any other aspect—without prior notice.
Such changes may cause temporary issues or inconvenience. You will not have claims against Medform for changes or resulting issues. We may discontinue some or all services at any time, subject to applicable law.
You agree to maintain independent, up-to-date backups of information you enter into the System (including via third-party backup services). You waive claims against Medform for loss of files or data regardless of cause.
These Terms and any dispute between you and Medform are governed by the laws of the State of Delaware, without regard to conflicts principles. The exclusive venue for any dispute is the state or federal courts located in Wilmington, Delaware.
Medform may update these Terms and any Binding Document from time to time. If changes are material, we will provide additional notice (e.g., in the Login Site or System interface, or via contact details you provided). Links in the Service will point to the current versions. Your continued use after updates indicates your acceptance. We may request renewed consent where appropriate.
Medform respects your privacy when you use the Login Site, the System, or any other service. We use patient or customer data only to provide the Service as described in our Privacy Policy, which is part of the Binding Documents. Because the Privacy Policy may change, please review it periodically.
HIPAA & BAA. Where we handle PHI on your behalf and you are a Covered Entity (or Business Associate), we act as your Business Associate under a Business Associate Agreement (BAA) and will use/disclose PHI only as permitted by HIPAA, HITECH, and the BAA.
You may not assign any right or obligation under the Binding Documents or grant security interests or rights to third parties without Medform’s prior written consent; any contrary act is void. Medform may assign its rights and obligations (e.g., to an affiliate or in a merger/acquisition), provided the assignee assumes Medform’s obligations to you.
Failure by Medform to enforce any provision does not waive its force. If any provision is held invalid or unenforceable, it will be enforced to the maximum permitted extent or severed; the remainder remains in full force.
Medform may identify you as a customer and use your name and logo in reasonable marketing materials.
Export controls & sanctions. You will use the Service in compliance with U.S. export control and sanctions laws and will not permit access/use from embargoed countries or by prohibited parties.
